End User License Agreement (EULA) for Minutelore - Online Courses

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and 10157481 MANITOBA Ltd., operating under the trade name AppFactory ("AppFactory," "we," "us," or "our"), regarding your use of the Minutelore - Online Courses mobile application ("App"). By installing or otherwise using the App, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the App.
  1. License Grant: AppFactory grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App for your personal, non-commercial purposes strictly in accordance with the App's documentation.
  2. Restrictions: You agree not to, and you will not permit others to:
  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App or make the App available to any third party.
  • Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the App.
  • Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of AppFactory or its affiliates, collaborators, or licensors.
  1. Intellectual Property Rights: This Agreement does not transfer to you any intellectual property owned by AppFactory or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with AppFactory. All trademarks, service marks, graphics, and logos used in connection with the App and Service are trademarks or registered trademarks of AppFactory or AppFactory licensors. Other trademarks, service marks, graphics, and logos used in connection with the App may be the trademarks of other third parties. Your use of the App grants you no right or license to reproduce or otherwise use any AppFactory or third-party trademarks.
  2. Privacy Policy: AppFactory is committed to protecting your privacy. Please refer to our Privacy Policy for information on how we collect, use, and disclose your information.
  3. Termination: This Agreement shall remain in effect until terminated by you or AppFactory. AppFactory may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. This Agreement will terminate immediately, without prior notice from AppFactory, in the event that you fail to comply with any provision of this Agreement. Upon termination, you must cease all use of the App and delete all copies of the App from your device.
  4. Limitation of Liability: In no event shall AppFactory be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
  5. Severability and Waiver: If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
  6. Amendments to this Agreement: AppFactory reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
